Choosing the entity structure
Before registration, consider the activity, risk, funding, partners, tax, employment and need for legal separation. Limited liability is not immunity from guarantees, personal liability, breach of duty or veil-piercing.
The choice requires legal and accounting coordination; a website cannot determine the right structure without the activity's facts.
Incorporation documents and founders' arrangements
The registration documents include the application, articles, declarations of the first shareholders and declarations of the first directors, according to the registration route. Capital, voting rights, transfers, board composition, signatories and reserved decisions must also be designed.
The articles are the company's constitutional document; a founders' or shareholders' agreement is a contract among its parties. They may cover overlapping subjects but do not necessarily bind the same persons, so they should be aligned without obscuring the distinction.
Obligations after registration
Depending on the activity, tax files, a bank account, registers, allotments, authorisations, insurance and activity-specific agreements may follow. An annual return does not replace separate filings for company changes.
A basic governance calendar helps keep registers and decisions aligned with reality and reduces friction during investment, finance, a transaction or a dispute.
