Direct, Derivative or Class Proceedings in a Public Limited Partnership

The differences between direct, derivative and class proceedings depend on who suffered the loss, who owns the claim, who may sue and the relief sought.

Holder of the affected right

A fall in investment value does not by itself show whether the loss is personal, belongs to the partnership or is shared by a class. The act, breached duty and entity that received or lost the value must be identified.

A public limited partnership adds the partnership agreement, Partnerships Ordinance, securities law and control structure. Automatically importing company-law labels can obscure a material distinction.

Differences between the available proceedings

A direct claim protects the claimant's own right; a derivative claim seeks to act for the entity when its proper decision-maker does not; and a class proceeding asks to conduct common questions for a defined group under the statutory route.
